Vendor Agreement

The terms that govern how vendors and service providers operate on the WKND marketplace.

Overview

This Vendor Agreement ("Agreement") governs your use of the WKND platform as a vendor or service provider. By listing services on WKND, you agree to these terms and the WKND Terms of Service.

As a WKND vendor, you offer services (event production, catering, transportation, photography, décor, entertainment, or other services) to travelers and event organizers through our marketplace.

Service Quality Standards

Your Commitment

By listing services on WKND, you commit to:

Providing services as described in your listings
Maintaining professional standards appropriate to your industry
Responding to booking inquiries within 24 hours
Honoring confirmed bookings unless exceptional circumstances prevent it
Treating all customers with respect and professionalism

Listing Accuracy

Your service listings must:

Accurately describe the services offered
Include transparent pricing (no hidden fees after booking)
Show realistic photos of your work (not stock images)
Clearly state what is and is not included
Disclose any capacity limits, geographic restrictions, or scheduling constraints

Reviews and Ratings

Your performance is tracked through customer reviews and ratings. Consistently poor ratings (below 3.0 stars average) may result in reduced visibility, listing suspension, or account termination after a warning period.

Platform Fees

Fee Structure

WKND charges a platform fee on each completed vendor transaction:

Free Tier: 10% platform fee on each booking
Vendor Pro ($399/year): 6% platform fee on each booking

Fees are deducted from the booking amount before payout. The fee covers platform access, payment processing, customer acquisition, dispute mediation, and marketing exposure.

No Hidden Charges

There are no listing fees, setup fees, or monthly minimums on the free tier. You only pay when you earn.

Fee Changes

WKND may adjust fee structures with 60 days written notice. Changes apply to future bookings only.

Payment Processing and Payouts

Stripe Connect

All vendor payments are processed through Stripe Connect. You must set up and maintain a valid Stripe Connect account to receive payouts.

Escrow and Payout Timeline

Customer payments are held in escrow for up to 14 days
For events: funds are released after the event date
For services: funds are released after service completion confirmation
If no dispute is filed within the escrow period, funds are automatically released
Payout processing takes 2-5 business days after release

Disputes and Holds

If a customer files a dispute during the escrow period, the relevant funds are held until the dispute is resolved. WKND mediates disputes but makes final decisions based on available evidence.

Liability and Insurance

Vendor Liability

You are responsible for the quality, safety, and legality of the services you provide. This includes:

Compliance with all applicable local, state, and federal laws
Maintaining required business licenses and permits
Ensuring the safety of your service delivery
Liability for damages caused by your services or staff

Insurance Recommendation

WKND strongly recommends (and for certain categories, requires) that vendors maintain appropriate liability insurance coverage. We may request proof of insurance before activating your listing.

WKND's Role

WKND is a marketplace platform. We are responsible for providing the technology, payment processing, and customer connection. We are not responsible for the quality, safety, or delivery of your services.

Indemnification

You agree to indemnify WKND against any claims, damages, or losses arising from your services, including but not limited to personal injury, property damage, or breach of contract with a customer.

Cancellations and Refunds

Your Cancellation Responsibilities

If you must cancel a confirmed booking:

Notify the customer and WKND immediately
Provide as much advance notice as possible
Work with the customer to find an alternative solution
Repeated cancellations may result in listing suspension or account termination

Customer Cancellations

Customer refund requests are handled according to the WKND Refund Policy. When a refund is approved, the corresponding platform fee is also reversed.

No-Show Policy

If a customer fails to show up for a confirmed service, you may keep the full booking amount (minus platform fees) unless otherwise specified in your cancellation policy.

Content and Photos

License Grant

By uploading photos, descriptions, and other content to your vendor profile and listings, you grant WKND a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute that content for the purpose of operating and promoting the platform.

Your Content

You retain ownership of your content. This license allows us to show your listings to potential customers, feature you in marketing materials, and include your work in platform showcases.

Content Standards

All content must be your own work or used with permission. Do not upload copyrighted material you do not have rights to. Misleading content (e.g., showing another vendor's work as your own) is grounds for immediate termination.

Dispute Resolution

Platform Mediation

WKND provides dispute mediation for vendor-customer conflicts. Our support team reviews evidence from both parties and makes a binding decision regarding refunds and fund releases.

Evidence

In the event of a dispute, you agree to provide relevant evidence (photos, communications, contracts, receipts) within 48 hours of a request.

Arbitration

Disputes between you and WKND (not customer-vendor disputes) are subject to the arbitration provisions in the WKND Terms of Service, including binding arbitration in Wayne County, Michigan.

Termination

By Either Party

Either you or WKND may terminate this Agreement with 30 days written notice.

Immediate Termination by WKND

We may terminate your vendor account immediately for:

Fraud, misrepresentation, or illegal activity
Consistent failure to deliver booked services
Safety violations or customer harm
Repeated Terms of Service violations
Sustained rating below 2.5 stars after warnings

After Termination

Active listings are deactivated
Pending bookings: you must fulfill or arrange alternatives for bookings within 30 days
Cleared funds are paid out within 30 days
Escrow funds are held until the escrow period concludes normally
Customer reviews remain on the platform

Voluntary Departure

If you choose to leave, give us 30 days notice and fulfill any outstanding bookings. We will process final payouts within 30 days of your last completed service.
